Public draft for legal review. Negotiated signed terms and mandatory law take precedence; this page is not a certification or legal opinion.
Company license scope, service boundaries and responsibilities.
Agreement and precedence
The accepted approved offer specifies annual term, licensed products, seats, quota and implementation scope. Signed negotiated terms take precedence over this public draft; this draft alone does not create an executed bespoke agreement.
Service scope
Trade Eyes provides decision-support software, local statistical workbenches and separately authorized broker AI services. It does not hold client funds, execute orders, certify audits or guarantee forecasts.
Client responsibilities
Provide authorized data, qualified reviewers, compatible browsers and an authenticated partner proxy where required. Maintain company encryption keys and backups; Trade Eyes cannot recover lost private report keys.
Availability and support
Contact hello@tradeeyes.app for support. No unmeasured uptime, response time, certification or custom deliverable is promised by this page; any SLA must appear in an executed offer.
End of term
Export needed records before access ends. Data deletion and legal retention follow the Privacy Policy and applicable agreement. Payment, confidentiality, intellectual property and mandatory rights survive where applicable.
Order of documents and parties
Before execution, the parties must identify the contracting legal entities, addresses, authorized signatories and applicable order. A negotiated signed agreement prevails, followed by the accepted offer and incorporated policies, subject to mandatory law. These public drafts do not themselves create a signed bespoke contract.
License and intellectual property
The proposed license is non-exclusive and limited to the products, approved partner origins, seats, allowances and term in the accepted order. Client inputs and client-owned reports remain client property, subject to third-party rights. Trade Eyes software, branding and generic methods remain its intellectual property. White-label and redistribution rights require express agreed scope.
Confidentiality and data paths
Each party should protect the other party’s confidential information, use it only for the contracted purpose and disclose it only to authorized recipients or as required by law. The executed agreement must define exceptions, permitted disclosures and duration. Browser-local files, optional client-key ciphertext storage, operational metadata and server AI requests have different processing boundaries; no universal zero-retention promise is made.
Fees, suspension and changes
The accepted offer and Terms of Sale control fees and payment conditions. Any suspension, material service-change notice, cure period or termination right must be agreed in the executed contract. Emergency abuse prevention does not waive statutory rights. Public availability of a lab or documentation is not proof of paid entitlement.
Warranties, liability and dispute schedule
Outputs require qualified human review and may be inaccurate. Before signature, counsel must agree any warranties, exclusions, liability cap, indemnities, insurance, governing law and dispute forum. This draft supplies no unagreed monetary cap, regulatory exemption or blanket exclusion of mandatory rights.
Exit and records
The signed order should define expiry, renewal, termination notice and any exit assistance. Export permitted records while access is available and retain company decryption keys. Loss of keys cannot be remedied by Trade Eyes. Store-specific deletion instructions and lawful retention must be agreed; deleting a key does not prove erasure of backups or billing metadata.
