Client-facing standard terms. Apply only when incorporated into an accepted private Order Form identifying the parties and required schedules. Mandatory law and signed negotiated provisions prevail; this page is not a certification or an executed contract.

Business service terms for licensed products, confidential evidence and human-led decisions.
1. Parties, incorporation and precedence
Trade Eyes is the service brand. The supplier and customer are the parties identified in the accepted private Order Form; each must be legally capable of contracting and represented by an authorized person. These standard terms apply only when incorporated into that Order Form. The DPA controls conflicts about covered personal data; a mutually signed amendment controls the matters it expressly changes, followed by the Order Form, these SaaS terms and the B2B Terms of Sale. Retail terms do not override this B2B agreement. No public page alone identifies the contracting supplier or constitutes an executed agreement.
2. Products and licence
During the paid term, the supplier grants a limited, non-exclusive, non-transferable licence for the products, seats, allowance and approved embedding origins in the Order Form. Public documentation and sample labs do not grant paid access. Redistribution, sublicensing, white-label use and third-party embedding require express scope. Lawful interoperability rights are unaffected. No client bank, ERP or government credentials are required for local BYOD workbenches.
3. Service boundaries and customer oversight
Trade Eyes supplies research and decision-support software, not brokerage, order execution, licensed investment advice, a tax opinion or certified audit. Broker integrations return information to a customer-controlled order interface; Trade Eyes does not place trades. Models, statistical simulations and data sources can be inaccurate or incomplete. Qualified customer reviewers must verify assumptions and outputs before use; neither returns nor business outcomes are warranted.
4. Customer obligations
The customer supplies lawfully obtained data, necessary rights and notices, compatible equipment and an authenticated same-origin proxy for broker AI where required. It manages authorized users, credential security, approved origins, keys and backups. Do not circumvent quotas, expose permanent API credentials, submit unlawful content or use services in violation of applicable sanctions or financial regulation. The customer remains responsible for decisions and its regulatory duties.
5. Confidentiality
Each party shall use the other party’s confidential information only to perform the agreement, restrict access to persons who need it and are bound by confidentiality, and protect it with reasonable safeguards. Exceptions are information lawfully public, previously known, independently developed or rightfully received without restriction. Legally compelled disclosure shall be limited and, where lawful, preceded by notice. Duties continue for three years after termination; trade secrets and protected personal data remain protected for as long as applicable law requires.
6. Ownership and data boundaries
The customer retains rights in its inputs and customer-specific reports, subject to third-party rights; the supplier retains software, branding and generic methods. The supplier receives only rights needed to deliver the contracted service. Local workbench files are processed in the customer browser. Optional private report storage receives ciphertext encrypted with company-held keys; readable membership, identifiers, timestamps, size and billing metadata remain. Broker AI and legacy records are separate server-processing paths. The supplier holds no private-report recovery key and cannot recover lost company keys.
7. Fees, term and changes
B2B Terms of Sale and the Order Form define prepaid price, taxes, scope and annual term. Additional products or usage require a separately approved change; no caller-entered price creates an entitlement. One-time approved annual purchases do not renew automatically. Material scope or contractual changes require agreement for an existing paid order; publishing a new web version does not retroactively amend an accepted version.
8. Support and service commitment
Contact partnership@tradeeyes.tech for B2B support. The supplier shall use reasonable efforts to investigate reproducible service defects and provide the agreed service materially in accordance with its documented scope. No numerical uptime, response-time or implementation guarantee applies unless included in a signed SLA. Beta features and public samples are excluded from SLA commitments. Maintenance and external provider dependencies may affect availability.
9. Suspension and termination
Either party may terminate for a material breach not remedied within 30 days after written notice specifying the breach. Immediate, proportionate suspension is permitted to prevent unlawful use, material security harm or verified payment fraud; notify the customer when lawful and practicable and restore access when the reason is resolved. Convenience termination does not automatically refund prepaid fees. If the customer terminates for the supplier’s uncured material service breach, unused prepaid service fees are refunded proportionately; mandatory law and separately signed terms prevail.
10. Warranty remedy
For a reproducible material nonconformity, the customer shall notify support and cooperate in diagnosis. The supplier shall use reasonable efforts to correct or provide a reasonable workaround. If the material breach remains uncured after the contractual cure period, termination and the unused-fee refund remedy apply. The service is not error-free; no suitability for automated trading, certification or investment performance is warranted. Non-excludable warranties and remedies remain intact.
11. Liability allocation
To the extent permitted by applicable law, each party’s aggregate contractual liability is limited to service fees paid or payable under the affected Order Form during the preceding 12 months. Neither party is liable for indirect or consequential loss or speculative trading profits under that limitation. The cap and exclusions do not limit fraud, wilful misconduct, liabilities that cannot lawfully be limited, or customer payment obligations. Mandatory data-protection remedies and data-subject rights remain unaffected. Any additional indemnity, insurance or higher confidentiality/data-security cap must be expressly agreed in the Order Form; no insurance coverage is represented here.
12. Exit and records
Customers should export permitted records and preserve decryption keys before access expires. The supplier shall cooperate with lawful, documented return/deletion requests under the DPA; additional migration services require agreed scope and fees. Key destruction is not proof of physical deletion of provider backups or billing records. Expiry does not transfer software ownership or grant continued online service. Accrued payment, confidentiality, ownership, liability and dispute provisions survive as appropriate.
13. United States and European Union protections
Applicable US federal/state laws and EU/member-state mandatory protections remain effective where relevant; this agreement does not waive data-subject rights or mandatory consumer rights. The United States and European Union are not a single governing-law jurisdiction. The private Order Form must specify an applicable US state or EU member-state law and competent forum before execution. No blanket arbitration obligation or class-action waiver is created by this public text. Parties shall first attempt good-faith resolution without preventing urgent relief or statutory complaints.
14. Notices and general terms
Contract notices use the addresses identified in the private Order Form; service coordination is available at partnership@tradeeyes.tech. Assignment, bespoke deliverables and amendments require written agreement except a lawful organizational succession that does not reduce protections. Unenforceable provisions are limited only as necessary without removing mandatory rights. Neither party may imply endorsement by the other without permission. No certification, audit finding or regulatory exemption is represented by these terms.
