Client-facing standard terms. Apply only when incorporated into an accepted private Order Form identifying the parties and required schedules. Mandatory law and signed negotiated provisions prevail; this page is not a certification or an executed contract.
Version 2026-10-31-b2b-v2 · Previous version
Company-bound approved offers, verified Dodo payment, annual access and refund remedies.
1. Purchaser and applicable documents
These terms apply to B2B orders expressly incorporating them, not retail Pro/Elite subscriptions. The private Order Form identifies the actual supplier, customer, authorized purchaser, notice details and selected legal forum. The SaaS Agreement and DPA govern their respective subjects; a signed negotiated provision prevails on the subject it expressly changes. Estimates, product ranges and public calculators are not binding prices.
2. Approved offer and review
An approved offer specifies one organization, product scope, USD price, seats, usage allowance, annual term, code expiry and contract version. Only an authorized verified company user may redeem it. An expired, revoked or different-company offer cannot authorize purchase. The purchaser must review the scope and provider checkout total before accepting; an Offer Code is confidential and must not be shared publicly.
3. Order acceptance and version
The authorized purchaser accepts the offer and incorporated version before checkout. Payment alone does not supply missing private contracting details or data-processing schedules. Acceptance records identify the version; later website changes do not amend an accepted contract retroactively. A materially changed offer requires renewed review. The offer can produce only its approved company order; it cannot be used to buy access for another organization.
4. Payment and taxes
Dodo Payments operates the payment checkout and, where designated in its transaction documentation, acts as merchant of record for collection, taxes and invoicing. The Dodo receipt identifies the payment seller; the private Order Form identifies the service supplier. Checkout displays currency, tax and total. Provider payment terms govern its payment handling. Trade Eyes does not receive card credentials; never email cards, API secrets or webhook secrets to support.
5. Verified activation and annual term
Access begins only after provider-verified successful payment matching the approved order, product, amount and organization. Browser redirects, customer screenshots and caller-entered prices are not payment authorization. Approved prepaid annual access runs for the recorded annual period from verified activation. A new approved purchase is required for another year unless a separate signed arrangement states otherwise; no automatic renewal is created. Trials and retail subscriptions are distinct and cannot grant an unpaid annual entitlement.
6. Delivery and integration acceptance
Online access is different from acceptance of a customer-site installation. The Order Form shall identify any deliverables, client dependencies, acceptance criteria and target dates. Integration estimates are not guaranteed SLAs. Custom implementation charges and acceptance milestones must be separately identified; seat/usage limits remain the provisioned order limits. Product samples do not enlarge purchased scope.
7. Cancellation and remedies
A customer may cancel an unpaid order before successful payment, subject to actual provider settlement status. After activation, convenience cancellation does not entitle the customer to an automatic pro-rata refund. Duplicate charges, billing errors and payments for unavailable undelivered access shall be investigated and corrected. For the supplier’s uncured material service breach, the SaaS Agreement’s 30-day cure and unused-prepaid-fee refund remedy applies. Mandatory statutory cancellation, withdrawal and refund rights always prevail; B2B status alone is not a blanket waiver.
8. Refund requests and processing
Send an invoice reference and reason to partnership@tradeeyes.tech from an authorized account; do not send payment credentials. The contractual target is to review complete refund requests within 10 business days, not a statement of measured past performance. Approved refunds shall be requested through the payment provider to the original method; bank/provider settlement time varies and is not guaranteed by this page. Keep records and use provider dispute channels where applicable.
9. Failed, reversed and disputed payments
If payment fails, access does not activate. A verified reversal, chargeback or fraud event may justify proportionate suspension under the SaaS Agreement and applicable law. Duplicate events must not create duplicate entitlements or charges. A genuine payment dispute does not remove non-waivable rights or justify accessing customer data beyond the contracted purpose. Contact support to reconcile the order with provider evidence.
10. No informal variation
Marketing conversations, preliminary estimates and self-entered amounts do not change an approved order. Changes to scope, price, renewal or payment terms require an authorized approved offer or written amendment. Product, legal and privacy protections continue to follow the accepted version and applicable mandatory US/EU law.
